These Terms & Conditions ("Terms") form a binding agreement between you ("Customer," "you") and Calender, Inc.("Calender," "we," "us") governing your access to and use of the Calenderwebsite, booking dashboard, public booking pages, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
1. The Service
Calenderis a scheduling and booking platform designed for residential cleaning businesses ("Customer," referring to the company that subscribes to the Service). The Service lets a Customer manage staff, services, availability, and appointments, and lets the Customer's own clients ("End Customers") request appointments through a public booking page. We are not a party to, and are not responsible for, the services performed between a Customer and its End Customers.
Customer is solely responsible for ensuring that its business, and the staff it schedules through the Service, comply with all licensing, insurance, bonding, background-check, and employment laws applicable to providing cleaning services in the jurisdictions where Customer operates. Calenderdoes not recruit, vet, background-check, or supervise Customer's staff, and has no visibility into or control over the condition of any home or property serviced.
2. Accounts & eligibility
- You must be at least 18 years old and able to form a binding contract to create an account.
- You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
- You are responsible for all activity that occurs under your account, including actions taken by staff members you invite.
- Notify us immediately at [email protected] if you suspect unauthorized use of your account.
3. Subscriptions, billing & free trials
Paid plans are billed monthly, yearly, or as a one-time lifetime purchase, as described on our pricing page. Checkout and payment processing are handled by Paddle.com Market Limited, acting as our authorized reseller and merchant of record. By subscribing, you authorize Paddle to charge your chosen payment method on the terms displayed at checkout.
- Monthly and yearly subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
- You can cancel a subscription at any time from your billing settings; cancellation takes effect at the end of the current billing period, and you retain access until then.
- A lifetime plan is a one-time payment that grants access to the Service for as long as we continue to operate it, subject to these Terms.
- Prices may change with at least 30 days' notice for existing subscribers; changes apply from your next renewal.
- Refunds are governed by our Refund Policy.
- If a free trial is offered, we will clearly state its length at signup; unless you cancel before it ends, it converts to a paid subscription.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload content that is fraudulent, defamatory, or infringes a third party's rights;
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
- Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests;
- Resell, sublicense, or white-label the Service without our prior written consent;
- Use the Service to send unsolicited marketing messages to End Customers who have not consented to receive them.
We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.
5. Your data & content
You retain ownership of the data you and your End Customers submit to the Service ("Customer Data"), including customer records, booking details, and business information. You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.
You are responsible for having the necessary rights and consents to submit your End Customers' personal information (such as name, email, phone number, and address) into the Service.
6. Third-party services
The Service relies on third-party providers, including Paddle for payment processing and email delivery providers for transactional messages (booking confirmations, reminders, and account emails). Your use of those providers' functionality through the Service is also subject to their own terms.
7. Intellectual property
The Service, including its software, design, and branding, is owned by Calender, Inc. and protected by intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you.
8. Service availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, update features, or modify the Service from time to time, and will make reasonable efforts to minimize disruption.
9. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to use the Service ends, though certain provisions of these Terms (including Sections 5, 7, 10, and 11) survive termination.
10. Disclaimers & limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Calender, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold Calender, Inc. harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, the acts or omissions of your staff while performing cleaning services scheduled through the Service (including property damage, personal injury, or theft claims), or your violation of any rights of a third party, including your End Customers.
12. Dispute resolution — binding arbitration & class action waiver
To keep disputes fast and affordable, you and Calender, Inc. agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding, individual arbitration rather than in court, except as set out below.
- Arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, and will be conducted remotely (by video or phone) unless the parties agree otherwise.
- This arbitration agreement is governed by the Federal Arbitration Act. The arbitrator, not any court, has exclusive authority to resolve any dispute over the interpretation, applicability, or enforceability of this arbitration agreement.
- Claims must be brought in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding, and the arbitrator may not preside over any form of class or representative proceeding.
- Either party may instead bring an individual action in small claims court for disputes that qualify, and either party may seek injunctive relief in court to protect its intellectual property or confidential information.
- If the class action waiver in this section is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court rather than in arbitration; the remainder of this arbitration agreement will still apply.
13. Governing law
Except for the arbitration agreement above, which is governed by the Federal Arbitration Act, these Terms are governed by the laws of the jurisdiction in which Calender, Inc. is organized and headquartered, without regard to conflict-of-law principles, unless a different governing law is required by applicable consumer protection law where you reside.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continuing to use the Service after changes take effect constitutes acceptance of the updated Terms.
